The Statute: 15 Pa.C.S. § 8825
Pennsylvania's LLC law states that every limited liability company "shall have and continuously maintain in this Commonwealth a registered office" (15 Pa.C.S. § 8825(a)). Corporations, nonprofits, and limited partnerships carry parallel obligations under their own chapters of Title 15. A separate provision, 15 Pa.C.S. § 109, lets any entity name a Commercial Registered Office Provider in place of a registered office address. That structure explains a detail that surprises many owners: Pennsylvania filings ask for a registered office address or a named CROP, not an "agent" in the usual sense.
Pennsylvania Registered Agent Requirements
The address rule. The registered office must be a Pennsylvania address stated with street and number. Department of State forms require an actual street or rural route address, and a PO box alone is not accepted, unless a CROP is named in lieu of an address.
Continuous maintenance. The statute's phrase is "continuously maintain": the registered office must exist for the entire life of the entity, not just at formation.
The practical standard. Because the registered office is where lawsuits and state notices are delivered, it needs to be a location where documents reliably reach a responsible person without delay.
